Terms of Service

The agreement between you and Sakura: the subscription, acceptable use, the data-processing relationship, cancellation and liability.

Who we are

Sakura is operated by [YOUR FULL NAME] trading as Sakura, a sole trader based in the United Kingdom. Contact address: [TRADING ADDRESS, incl. postcode]. Email: [support@sakurascales.com].

For data-protection matters we are registered with the Information Commissioner's Office (registration [ICO REGISTRATION NUMBER]).

The agreement

These Terms form a contract between you and [YOUR FULL NAME] trading as Sakura. By creating an account or using Sakura you agree to them, to the Privacy Policy, and to the Acceptable Use Policy.

You must be at least 18 and able to form a binding contract. If you use Sakura for a business or organisation, you confirm you are authorised to bind it, and references to "you" include that business.

The subscription

Sakura is billed at £97 per month via Stripe after a 3-day free trial. Your card is collected at checkout and charged when the trial ends unless you cancel first. All prices include or exclude VAT as stated at checkout.

The subscription renews monthly until cancelled. You can cancel at any time from the billing portal in Settings; access continues to the end of the paid period.

We may change pricing on renewal with at least 30 days' notice by email.

Your right to cancel (consumers)

If you are a consumer (an individual acting outside your trade or profession) you normally have 14 days to cancel a contract for a digital service under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

By ticking the box at sign-up to start using Sakura immediately, you ask us to begin the service during the cancellation period and acknowledge that you lose the right to cancel once the service has been fully provided. If you cancel before that, we may charge for the service used up to cancellation.

The 3-day free trial means a consumer who cancels during the trial is not charged.

Your provider accounts and costs

Sakura runs AI research and generation on the Anthropic API key you provide. That usage is billed to your Anthropic account, not to us.

SMS is sent and received through your own Twilio or HighLevel account. Number rental, per-message fees, and any regulatory registration required by carriers (for example US A2P 10DLC — for HighLevel customers this is handled within HighLevel) are your responsibility and are billed by those providers.

You are responsible for keeping your provider credentials valid and for those providers' costs and terms.

Acceptable use

You must follow the Acceptable Use Policy. You must have a lawful basis and any required consent to contact the people you import, must honour opt-outs, and must not use Sakura for spam, harassment, or unlawful, deceptive or carrier-restricted messaging.

You are responsible for the content of every message you approve and send and for compliance with the marketing and privacy laws that apply to the recipients (including PECR and UK GDPR in the UK, and TCPA/CAN-SPAM, CASL and carrier rules elsewhere).

Data processing (we act as your processor)

Where we process personal data about the people you contact, we do so only to provide the service and on your documented instructions; we keep it confidential; we apply appropriate technical and organisational security; we use only the sub-processors listed in the Privacy Policy and will tell you of intended changes; we assist you, taking into account the nature of processing, with data-subject requests and with your security and breach obligations; we will notify you without undue delay of a personal data breach affecting that data; and we delete it when you delete your account, unless we must retain it by law.

This section, together with the Privacy Policy, is intended to meet Article 28 UK GDPR. A separate signed DPA is available on request.

Research accuracy and generated content

Sakura extracts facts from public web pages and drafts messages. Research and generation can be wrong or incomplete. Sakura shows you the source for every fact it uses and marks leads where it could not find a reliable angle.

You are responsible for reviewing and approving every message before it is sent. Do not rely on generated content without checking it.

Availability and changes

We aim to keep Sakura available but do not guarantee uninterrupted service. We may modify, suspend or discontinue features and will give reasonable notice of material adverse changes where practical.

Suspension and termination

We may suspend or terminate your account for breach of these Terms or the Acceptable Use Policy, non-payment, or to comply with law or protect the service and its users. Where practical we will give notice and an opportunity to fix the problem.

You may stop using Sakura and delete your account at any time.

Our responsibility to you

We do not exclude or limit our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, for fraud, or for any statutory rights you have as a consumer that cannot be excluded.

Subject to that, we are not liable for loss that was not reasonably foreseeable, for loss of profit, revenue, goodwill or data, or for business interruption; and our total liability for all claims arising in any 12-month period is limited to the greater of the fees you paid us in that period or £100.

Sakura is a business tool. If you are a consumer, you agree to use it only for personal projects and not for any commercial activity, and we have no liability for business losses.

Your responsibility to us

You will indemnify us against claims, losses and costs (including reasonable legal fees) arising from your use of Sakura in breach of these Terms or the Acceptable Use Policy, including claims by people you contacted or by your AI or SMS providers.

General

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have non-exclusive jurisdiction. If you are a consumer resident elsewhere in the UK you may also bring proceedings in your home courts.

If any part of these Terms is found unenforceable, the rest continues in force. Our failure to enforce a term is not a waiver of it.
